I. CALL TO ORDER
Doug Austin called the meeting to order at 6:34 PM.
II. CERTIFICATION OF QUORUM
Presence of quorum was established with sixty members of the Association represented in person or by mail-in ballots.
Thirty ballots are needed for quorum.
III. AFFIDAVIT OF MEETING NOTICE
Notice of the Special Recall Meeting was mailed April 13,2009 to all members of the Association at their last known
address of record.
IV. INTRODUCTIONS
Doug Austin introduced Management, Legal Counsel, the Recording Secretary and the Sign-in Assistant.
V. PRESENTATION OF RECALL ACTIONS/PRESENT STATUS
Doug Austin presented the facts of the recall petition and present status of the Tatum Village Board of Directors:
- On March 23,2009 a petition under Arizona law, A.R.S Sectioi133-1813, was signed by a sufficient number of Tatum Village members and submitted to and received by the Board of Directors, requesting removal of Jodi Failkin and Terry Cunningham, current members of the Board of Directors. Therefore, pursuant to the statue, and with verification of the recall petition by Carpenter, Hazelwood, Delgado and Wood PLC, this Special Recall Meeting was scheduled.
- Terry Cunningham resigned from the Board of Directors on March 23, 2009.
- On April 22,2009, prior to the Special Recall Meeting, Jodi Failkin appointed Kathy
Forman and Adriano V. Altiveros SR to the Board of Directors. Jodi Failkin resigned from the Board of Directors following these appointments.
- Due to Jodi Fialkin's resignation there will be no recall vote; therefore, the ballots will not be counted.
The new Board will appoint a third Board member and notify Rossmar & Graham of the next Board meeting.
VI. ADJOURNMENT
Doug Austin adjourned the meeting at 6:37 PM.
